Abusive Tax Transactions

9 March 2004. This Internal Revenue Service (IRS) Web site is devoted to the identification, analysis and examination of abusive tax shelter schemes and promotions. Find press releases as well as information about "listed transactions." Listed transactions are transactions that are "the same as or substantially similar to one that the IRS has determined to be a tax avoidance transaction and identified by IRS notice or other form of published guidance." The information about listed transactions includes summaries and full-text of relevant revenue rulings.

24 January 2002. This site boasts a collection of over 5,000 legal forms -- about 2,000 of which are available for free to registered users. Coverage includes affidavits, applications, bankruptcy, business, corporation, divorce, leases, partnership, rent, statements, trademark, and trusts. Also find practical plain English articles from Nolo.com and a forms search feature.

AllBusiness.com

24 January 2002. While designed for small business owners and entrepreneurs, legal professionals may find helpful sample forms and agreements. These cover issues pertaining to employment, the Internet and technology, office management, legal transactions (incorporation, intellectual property, contracts), insurance, sales and marketing, finance and accounting, and business planning. Also find commentary involving these issues.

21 May 2001. Revised 6 December 2001. World Investor Link partners with several companies to provide copies of annual reports. We link this page as a recommended starting point. Select a partner to begin the search for annual reports. Note that different partners offer different reports, delivery services, and finding tools.

Best of Buslib-L

23 April 2002. Subtitled "the collected wisdom of the world's information experts," this site compiles select messages posted to the email discussion group, Buslib-L. Find answers to business research questions like "Where can I find S.I.C. codes on the Internet?" Or recommendations regarding information products, search strategies, and sources of information.

BizSeer

8 March 2004. Revised 5 May 2008. Developed by Penn State's Smeal College of Business, this specialty search engine indexes commercial and academic articles and reports on business issues. Previously called SMEALSearch. Additionally, "BizSeer attempts to generate a citation analysis for all the academic articles harvested and ranks them in order of their citation rates (the most cited articles are listed first) similar to the ranking of CiteSeer and the Google Scholar." Search for documents by keyword, or discover where an author or document has been cited. Special search limits include restricting queries to information appearing in the document header or title. Information provided includes an abstract, related documents, citations and a link to the the full-text document.

Bloomberg.com

5 December 2003. The Bloomberg news service reports on markets, economies, companies and other topics daily. Its news stories appear in newspapers around the world. The Web site provides a mix of free and fee-based information. Using it requires free registration. A special feature lets you find current stock information by entering a ticker symbol. Another search feature helps you find the ticker symbol by company or mutual fund name.

Bplans.com

17 May 2004. Small business solutions software company, Palo Alto Software, offers this free site devoted to business planning. Find articles, sample business plans, calculators, questions and answers, a glossary and more. The site also publishes a monthly newsletter by email, which provides tips on business planning.

Business Filings Databases

2 October 2000. Revised 3 March 2006. Find a directory of state corporate information databases compiled and annotated by Kathy Biehl. It covers all 50 states.

Business Law Site, The

13 December 2001. Law firm Methven and Associates offers a collection of resources pertaining to business law issues. Also find past issues of the firm's legal newsletters (currently May 2000 to June 2001) and articles covering a variety of issues, including electronic commerce, intellectual property, Internet law, and more.

Business Owner's Toolkit

2 December 2002. Publisher CCH Incorporated offers this free site for business owners, especially those with small businesses. Find the CCH Small Business Guide, a collection of practical articles on various aspects of planning and running a small business. Other sections of the site provide model forms and checklists (Small Business Tools), employee training (HR Tools), and advice about business issues (Ask Alice).

Business Review Letters

13 February 2002. The Antitrust Division of the Department of Justice (DOJ) offers the text of current Business Review Letters as well as a digest of Letters dating back to 1968. The DOJ writes Business Review Letters in response to requests for information exchanges among competitors.

Business2.0 Web Guide

21 February 2002. Business 2.0 offers an extensive guide for finding sources of business and economic information. It focuses on professional sources and covers issues like management, electronic commerce, finance, industries, technology, and more. This Web guide also covers current issues like finding sources of information about Enron.

BusinessCreditUSA

6 October 2000. Revised 16 April 2004. This InfoUSA database enables finding company contact information for free. Search by company name to find company name, address and telephone number. The site also enables submitting or reviewing opinion about companies. If you register with the site, you can purchase a business credit report. Reports include key contact information, lines of business, corporate affiliations, public records, Web site addresses, news and more.

BusinessLaw.gov

6 December 2001. Revised 16 August 2002. The Small Business Administration offers a site devoted to legal and regulatory information of interest to small businesses. Topics range from basic guidance about choosing a business structure or hiring a lawyer, to highly specialized issues such as e-commerce and exporting. One attractive feature, entitled State and Local Information, explains state doing business laws in plain English.

Canadian Corporations Database Online

6 January 2003. Search for Canadian business corporations by company name or number. Data returned includes the business status, address on file, effective date of registration, directors names and addresses, and other information, if relevant.

Carey & Associates, P.C.

21 January 2003. This law firm Web site offers articles on executive compensation issues. It also provides access to Executive Compensation Database by Ecomponline.com. Search the database by company name or ticker symbol to find executive compensation for officers and directors of public companies. Data includes name, title, salary, bonus, and total direct executive compensation.

CasePlace

8 January 2004. A free service of The Aspen Institute's Business and Society Program, CasePlace offers business case studies and related materials on social and environmental issues. Topics covered include business and government relationships, community development, crisis management, diversity, governance, legal and ethical issues, organizational change, restructuring, strategic alliances, and more. Search by discipline, major topic or keyword to find bibliographic information and abstracts. The bibliographic records contain links to sources for full-text retrieval; however, we experienced some frustration in trying to find specific documents. Many times, the links lead to a home page rather than the document itself. Access to the site requires free registration.

Certified Financial Planner

23 September 2004. The Certified Financial Planner Board of Standards Inc. provides three lookup tools for finding board certified financial planners. Search by name or location to find a professional's full name, employment (or affiliated company), business address, phone number, certification status, certification dates and public disciplinary history.

Choosing the Legal Structure for Your Business

22 January 2004. While subtitled A Guide for North Carolinians, this primer offers general information many small businesses will find helpful. It defines several types of legal structures for businesses, including limited partnerships, S corporations, professional corporations, limited liability companies and others. It also offers a table that compares various aspects of different types of business structures.

Commerce Business Daily

6 December 2001. The U.S. Department of Commerce publishes notices of proposed government procurement actions, contract awards, sales of government property, and other procurement information.

Contracting and Organizations Research Institute

14 September 2001. Revised 11 March 2005. Affiliated with the University of Missouri, CORI promotes research on contracting and organization. It provides a free database containing more than 25,000 contracts. Many of the contracts come from EDGAR (Securities and Exchange Commission) filings. Search by keyword. You may limit a query by the type of document (employment agreement, merger) you seek. You must register with the site to access the database.

ContractsProf Blog

21 December 2004. The official Weblog of the Association of American Law Schools (AALS) Section on Contracts, this site comments on developments concerning contract law. Stories cover current cases, articles, teaching strategies and more. A regular feature, entitled "Today in History," outlines various events relating to commerce, trade and contracts. There is also a small collection of links to useful resources. The site offers RSS and Atom news feeds.

Corp Law Blog

30 July 2003. Mike O'Sullivan, a corporate securities and mergers and acquisitions lawyer with Munger, Tolles & Olson LLP in Los Angeles, California offers news and commentary on current corporate law issues. Topics include antitrust, corporate governance, mergers and acquisitions, private securities litigation, tax and others. The blog also links to useful resources in this area of law. Its RSS news feed provides headlines and partial descriptions.

Corporate and Business Law

17 May 2004. LexisNexis offers this resource containing news summaries pertaining to business law issues. News topics include mergers and acquisitions, corporate liability and the Sarbanes-Oxley Act. Use of the site is free and all information appears in full-text.

Corporate Library, The

1 May 2001. Revised 11 March 2005. The Corporate Library is an independent investment research firm providing corporate governance data, analysis and risk assessment tools. It offers a database of S&P 500 companies that you may search for free. (Paid subscribers receive access to a larger database of U.S. and international companies.) Search by company name, ticker, CEO or other criteria to find the company name, CEO name, ticker symbol, industry and market capitalization. For a fee, you can also download company and board member profiles.

The site offers additional free databases. Find one containing chief executive officer employment contracts, which you can search by keyword. "Governance Policies" is a keyword-searchable database of governance policies.

CPL Policy Collection

22 April 2002. Cornell's Computer Policy and Law Program offers this database of information about, and links to, policies on various computer issues. The collection covers corporate, educational institution, municipal, and network policies dealing with acceptable use, access, computer use, terms and conditions, dial-in, email, ethics, privacy, security, World Wide Web, and other policy topics.

CROSS (Customs Rulings Online Search System)

30 July 2002. The U.S. Customs Service provides this database of selected rulings that span the years 1989 to present. While not all rulings currently reside in the database, the Customs Service plans to include all rulings at some future date. The database supports Boolean, including the NEAR operator. Enter a tariff number or legal citation as a keyword or phrase. Enclose phrases in quotation marks. The database also provides tariff classifications (e.g., search wine to find rulings and the classification under each ruling).

Dictionary

30 September 2002. The Economist (Bloomsbury Publishing) offers a dictionary of business terms.

Docstoc

15 November 2007. Revised 19 November 2007. Docstoc combines file sharing and social networking. Members upload documents they agree to share. Documents are categorized broadly as legal, business, financial, technology, educational or creative. Other members also may tag or comment on the documents.

You may browse, display and e-mail documents without becoming a member. However, to upload and share, tag, comment on, or download documents, you must register with the site.

All documents, regardless of their original format, display in MacroMedia FlashPaper. Therefore, you must allow javascript to run at this site.

Documents Online

30 September 2002. This database contains the official documentation of the World Trade Organization, including the legal texts of the WTO agreements. Search or browse background papers on a variety of topics, agreements, ministerial decisions, protocols, understandings, and other legal documents, and more. Coverage extends back to 1995, and selectively back to 1986.

DowJones Indexes

15 December 2003. Dow Jones Indexes makes available current information from some of its stock indicators, including the Dow Jones Industrial Average and leading Pan-European indexes. In addition to current data, visitors will find explanatory materials and some historical market data. Displaying some of the information requires the Adobe Acrobat Reader or Excel. Some special features include the ability to generate tables of information about corporate actions (name changes, stock splits) or historical indexes.

eBizSearch

28 January 2003. Pennsylvania State University sponsors this specialty search engine that combs the Web for academic and commercial articles covering various e-commerce issues. Search by keyword to finding matching articles, or by author's last name, or first initial plus last name, to find matching citations. The engine performs a phrase search first, and then proceeds with a Boolean query and relevancy ranking if no phrase matches are found.

Eco5.com

2 August 2005. A German company is building a portal to information about finance and economics. Its mission is to provide access to free professional resources. Currently, it links to resources providing market overviews, historical trade data and forecasts, working papers and glossaries, global and regional news, institutions, jobs, university rankings and information, and more.

Encyclopedia of Finance

23 April 2002. Ameritrade offers this resource, which explains financial concepts in easy-to-understand language. The first chapter begins with "What is stock?" and "Why do companies issue stock?" Other chapters cover security and analysis research, debt securities, mutual funds, investment strategies, and retirement planning.

European Case Clearing House

21 March 2005. With offices at Cranfield University in England and Babson College in Massachusetts, the European Case Clearing House (ECCH) maintains and distributes case studies from management teaching programs around the world. Its COLIS database lets you search abstracts and bibliographic information on the case studies. Search by a variety of criteria, including author, title or topic. An "index" feature helps you find the subject categories available for searching. Registered users may display "inspection copies" of the case studies.

FindLaw Corporate Counsel Center

30 January 2002. FindLaw's latest creation serves as a good starting point for industry-related and business law research. The site comprises four major sections -- Industry Centers, News, Research Tools, and Law Firm Center. Industry Centers leads to news, commentary, laws, contracts, and other resources pertaining to specific industries or areas of business law. Areas of law covered include antitrust, intellectual property, international, labor, litigation, mergers & acquisitions, securities, tax, and white collar crime.

Take time to browse your topic of interest. While the search engine performed well for the test queries I ran, the site contains a lot of useful information you don't want to miss. Peruse the Food & Beverages industry page, for example, to find several employment-related contracts for Coca-Cola. The same page also lists Westlaw databases likely to provide relevant information for this industry.

Research Tools brings together information appearing elsewhere at FindLaw. For the most part, these represent resources useful to legal professionals. The guide, however, is not infallible. A Pennsylvania law page links to several sources with questionable authority. Moreover, all the automated queries for finding federal legislation proposed by Representatives and Senators from Pennsylvania, yield hits from the 106th Congress -- not the current Congress.

FindLaw for Business

13 December 2001. Mega legal site FindLaw offers this collection of legal self help guides and other resources for small business owners. The self help guides provide articles and sources of information on a variety of issues including business formation, hiring and firing, accounting, technology, and more.

Foreign Trade Statistics

6 September 2005. The U.S. Census Bureau offers several publications for finding statistics on foreign trade. This Web page provides access to relevant press releases, exporter profiles, data on U.S. trade in goods (published jointly with the U.S. Bureau of Economic Analysis), and Federal Register notices and rule-makings.

Franchise Law

21 December 2004. The franchise and distribution practice group of the law firm Wiggin and Dana LLP blogs about developments and news pertaining to franchising. It provides its own search engine with a date qualifier that actually works! It also offers RSS and Atom news feeds.

Free Downloadable [Business] Forms

2 December 2002. Office Depot provides forms on a variety of business issues that you can download and customize. They cover business finance, employee management, compensation, marketing, worker safety, recruiting, starting a business, firing, and equipment.

freeERISA.com

9 March 2004. freeERISA.com offers several databases useful for those conducting research about group retirement or welfare benefit plans. Some databases require a paid subscription, but many are free. The free databases offer financial reports (form 5500) of the qualified retirement plans of U.S. employers, company applications to terminate retirement plans (form 5310), information about companies with executive deferred compensation plans, information about non-profit organizations, SEC filings on employee benefits and compensation, collective bargaining agreements, and more. Two other free databases help you find employer identification numbers (EINs). Access requires free registration.

Gilbert & Tobin Publications

7 March 2002. Gilbert & Tobin is an Australian corporate, technology and communications law firm. It provides full-text copies of articles covering timely issues in competition law, business law, intellectual property, tax law, and more. From the home page, select the Publications tab.

Goliath

21 April 2005. Thomson Gale provides this business information portal, which gives consumers access to news, company profiles, market reports and other information on a pay-per-view or subscription basis. Six menu tabs describe the content. Competitive Intelligence contains reports from sources such as Ward’s Business Directory and Graham and Whiteside Major Company Series. Industries and Markets contains reports from many different sources and covers topics such as trends analysis, market leaders, product and brand information and statistics. Management Practices provides access to 3 separate databases -- Business & Management Practices, Thomson Gale Encyclopedia of Management and Thomson Gale Business Plans. Industry and Business News contains articles from journals, newspapers, newswires, and magazines. Lead Generation helps you create lists of contacts by industry, product type, keyword or job title. Biz Match helps you find business contacts. It includes sources such as Consultants and Consulting Organizations, American Wholesalers and Distributors, and Taft Directory of Corporate and Foundation Givers. You may search or browse the portal for free. Pay to access full-text information.

GPO Board of Contract Appeals

6 March 2002. The Web site of the Government Printing Office (GPO) Board of Contract Appeals offers the Board's rules of practice and procedure, decisions, contract documents, and select court cases. The Board of Contract Appeals adjudicates claims arising under contracts awarded by the U.S. Government Printing Office.

GSA Board of Contract Appeals

6 March 2002. The Web site of the General Services Administration (GSA) Board of Contract Appeals offers its rules of procedure, decisions, and brief biographical information about its judges.

GuideStar

Discover basic information about charitable organizations. Learn their assets, income, FEIN, funding and activities.

The site also features an advertisements database offering services such as volunteering and financial resources.

21 October 1999. GuideStar launched a charities form 990 database on Monday, 18 October 1999. On Wednesday, it brought the database down after discovering it included some donor information. Information at the site indicates access to the database will resume shortly.

House Committee on Financial Services

18 July 2002. Find live webcasts of hearings and markups, news, information about current legislation, hearing transcripts, committee prints, and more.

Incorporator.com.au

14 April 2005. This is a do-it-yourself (DIY) company formation Web site. By posing questions, it takes you through the process of registering your company in Australia. It also provides several guides, such as the Small Business Guide, which summarizes the Corporations Act 2001 rules that apply to the most common type of formation used by small businesses.

International Journal of Central Banking

2 August 2005. The Federal Reserve Board's new journal, which is hosted by the Bank for International Settlements, will be published quarterly. It will feature "articles on central bank theory and practice, with a special emphasis on research relating to monetary and financial stability." Articles provide an abstract as well as the full-text (in PDF). Access is free.

International Law Office Deals Database

12 September 2002. Globe Business Publishing Ltd, a publishing company that specializes in information for the global legal community, offers a deals database. Search for deals announced since 1 January 2001. Search by law firm, lawyer, deal type, company, industry, type of work (e.g., banking, commercial property, etc.), value, date, or keywords to find a brief description of the deal, companies involved, the legal advisors, the value of the deal, and the date announced.

Juris International

6 March 2002. The International Trade Centre, LexUM of the Center for Research in Public Law at the University of Montreal and Juripole from the University of Nancy provide this database of legal information concerning international trade. Find international conventions, model laws, model contract clauses, World Trade Organization (WTO) agreements, as well as, legal documents pertaining to the Organization for the Harmonization in Africa of Business Law (OHADA). Many, although not all, of the documents are available in English, Spanish, and French.

Learn About Incorporating

24 June 2002. Business Filings Incorporated offers a series of FAQs and other documents designed to answer basic questions about incorporating a business, forming a limited liability company, professional corporation, or professional limited liability company. It also provides an entity comparison table with explanatory text, information about the rules and regulations of each state, advice about selecting a state, and a glossary of business terms.

NASD BrokerCheck

13 September 2004. Revised 18 April 2008. The National Association of Securities Dealers provides this resource for obtaining information about the professional background, registration/license statuses and conduct of NASD registered firms and their registered brokers. The information comes from the Central Registration Depository (CRD) as reported on the industry registration/licensing forms--Form U-4 and Form BD. Review items 10-12 in the site's Terms of Use for details about what will be disclosed. Note the limitation, which states information is provided on individuals "for two years after the termination of the individual's NASD registration." Information on firms is provided indefinitely. According to criticism of the upgraded system published in the San Francisco Chronicle, information about "old complaints ... are limited to the ones that were archived starting Monday [19 March 2007], the implementation date of the BrokerCheck upgrade."

New York Project Sunlight

10 December 2007. The New York State Office of the Attorney General provides a one-search interface for finding state campaign finance information, lobbyists, corporations and other registered businesses, state-funded projects, charities and state contracts. Search by keyword, which may include the name of a person or company or a descriptive word. Tabbed results provide information in each category, when relevant. The keyword search feature is a partial matching search, meaning that the word you enter may be found in its entirety or as part of another word.

Nonprofit Good Practice Guide

8 April 2003. The Dorothy A. Johnson Center For Philanthropy & Nonprofit Leadership at Grand Valley State University offers this Web site devoted to non-profit basics. Learn about fundraising, governance, staff development, accountability, volunteer management and more. The site provides a glossary of common terms relating to non-profit organizations as well as a database of resources.

North American Industry Classification System (NAICS)

6 December 2001. This classification system replaces the Standard Industrial Classification (SIC) System.

Pennsylvania Disciplinary Actions

2 November 2007. The Bureau of Professional and Occupational Affairs of the Pennsylvania Department of State provides an index to disciplinary or corrective measures taken by 27 state professional licensing boards and commissions. The listing includes actions taken against charitable organizations and notaries public. It covers 1999 to present.

Unfortunately, there is no database to search. However, a site search will return documents from this list.

Project Finance Portal

29 March 2001. Based on a Harvard Business School research project, this site serves as a portal to project finance print and Web-based resources. Each resources has a bibliographic citation or brief description.

Research Notebook

8 April 2003. The Baker Library at Harvard Business School offers this collection of tips, techniques and observations about business research. Select previous features include researching labor statistics, using The Corporate Library and using Statistical Abstracts Online.

Resident Agent Information and Links

18 November 2002. Maryland attorney Terry Berger maintains this list of links to sites providing business status and registered agent information. The list also includes useful contact information for some states.

SafeSelling.org

20 August 2007. A project of the Cyberspace Law Committee of the American Bar Association's Section of Business Law, this Web site offers information for business people launching e-commerce enterprises and for businesses venturing into online sales. It contains a series of practical short articles of primary interest when starting a business. For instance, there are essays on obtaining and protecting domain names, publishing and linking to third-party content, selling out-of-state and internationally, records retention, structuring your business, paying taxes, maintaining customer information and privacy, and more.

Small Business and Self-Employed One-Stop Resource

10 November 2004. The Internal Revenue Service provides a collection of articles and resources for those starting or running a small business. You'll find self-directed workshops on tax issues, information about employer identification numbers (EINs), a guide to starting, operating or closing a business, and more. While no source is truly a "one-stop" shop, this one serves as a good starting point for your small business taxation issues research.

Small Business Law Library

17 January 2006. The Small Business Administration offers this helpful guide for finding pertinent statutes, executive orders, memoranda, small business size standards and e-mail alert services.

Standard Industrial Classification Manual

The Occupational Safety & Health Administration (OSHA) offers this search interface to the 1987 edition of the SIC Manual.

Starting Your Business

10 November 2004. The Small Business Administration offers a section on starting a business. It contains a startup guide and several articles on planning, financing and marketing a business, as well as managing employees, understanding tax issues, legal forms of ownership and other topics. Other parts of the Web site provide a business terms glossary and answers to frequently asked questions.

Tariff Database

10 January 2002. The U.S. International Trade Commission offers this database containing product descriptions and tariff rates from the Harmonized Tariff Schedule of the United States. Search by keyword or HTS category number to find a brief description, data concerning recent U.S. imports for consumption, tariff treatment, and other information.

Tariff Information Center

6 September 2005. The U.S. International Trade Commission provides information about the Harmonized Tariff Schedule (HTS) of the United States, which was enacted by Congress and made effective on January 1, 1989. The HTS replaces the former Tariff Schedules of the United States. Find the current Harmonized Tariff Schedule of the United States Annotated (PDF), an archive of annotations, a list of changes to the HTS, studies or proposed modifications to the HTS, a database of current tariffs, as well as links to Customs ports of entry and Customs rulings.

Tax & Business Law Commentary

24 February 2003. Stuart Levine, a partner in the Baltimore law firm Eastwick Rose Wright & Levine, P.A., comments on tax and business law developments. Levine's informative essays review recent IRS actions, court decisions, and other legal documents. The site also provides updates by email.

TechAgreements.com

30 May 2001. It in own words, "TechAgreements is a research tool for those looking for model legal forms and competitive information on publicly disclosed deals in the Internet, Computer and Telecom industries." Search by company name or keyword, or browse agreements by industry.

The site offers a brief summary of the agreement including the date it was signed and number of pages. You pay per agreement to access the full-text. TechAgreements.com helpfully supplies a line item for entering billing references.

The Best Cities for Doing Business

19 June 2006. Inc.com recently published its annual review of the best cities in the U.S. for doing business. Inc. studied 393 population centers across the nation, identifying job creation and other signs of business vitality. It found that locations on the periphery of the big cities are the real entrepreneurial hot spots -- where low costs and favorable regulatory environments make it possible to thrive. You may search or browse the rankings. In addition to the rankings, you will find related statistical data, articles and maps.

The Digital Economy Factbook

18 December 2007. The Progress & Freedom Foundation (PFF) released the 9th edition of The Digital Economy Factbook. Co-written by Stephen McGonegal, President of Independent Analysis, Inc., and PFF Research Associate Daniel B. Britton, the fact book contains statistics and other information on the digital economy.
